1. Consent
(1) The Yamaha Corporation ("Yamaha") grants to the user ("User") of this software, VL Visual Editor Beta Version (the "Software"), a non-exclusive, non-sublicensable license to use this Software in binary executable form for trial purposes only. Unless expressly stated in this Agreement to the contrary, all rights pertaining to this Software belong to Yamaha.
(2) User cannot use or make copies of this Software for the purposes not describing in this License Agreement. User shall not decompile or disassemble this Software.
(3) Any rights not expressly granted herein are reserved by Yamaha Corporation.
2. Commercial Release etc. of this Software
This Software is distributed as a Beta version (pre-release) and is not a completed product on the functions and the compatibilities. Yamaha reserves the right not to release this Software. Yamaha also reserves the right to change specifications, functions and the licensing terms of this Software before releasing of the productive version of this Software at any time.
3. DISCLAIMER OF WARRANTY.
This Software is deemed accepted by User. This Software constitutes pre-release code and may be changed substantially before commercial release. The Software is provided "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YAMAMA FURTHER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE AND DOCUMENTATION REMAINS WITH USER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YAMAHA OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF YAMAHA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO USER.
YAMAHA will not support this Software.
4. Termination of the Agreement
In the event of any default by User of any provisions of this License Agreement, even without issuance of a termination notification from Yamaha, the usage consent outlined in this Agreement shall automatically terminate. In such a case, this Software, attached documents, and any copies thereof shall immediately be destroyed.
5. Copyright Law
The title, property rights and intellectual property rights of this Software shall be vested in Yamaha. This Software is protected under the copyright laws of Japan and under international agreements, and as such, User shall regard this Software as protected under these copyright laws.
6. Terms and Conditions
(1) User wishing to engage in re-distribution or re-publication should receive Yamaha's prior permission in writing. (Correspondence should be sent to the following address)
(2) User may not alter the display of the copyright.
(3) User may not absolutely modify this Software or to its documentation.
(4) User may make any re-distributions or re-publications made of this Software or its documentation with absolutely no deletions from the original.
(5) User may not distribute any product which incorporates a part of this Software.
(6) User shall make the receiving party of such a distribution comply with the terms and the conditions of this License Agreement.
